Welcome to Sproutly. These Terms of Use (“Terms”) govern your access to and use of Sproutly’s website(s), account portal, and related online services (collectively, the “Services”), and your purchase, receipt, and use of Sproutly meals and related items (collectively, the “Products”).
The Services are provided by Mauja Food and Products (“Sproutly,” “we,” “us,” or “our”), located at:

By accessing or using the Services or ordering Products, you agree to be bound by these Terms and all terms incorporated by reference, including our Privacy Policy. If you do not agree, you may not use the Services or order Products.


IMPORTANT NOTICE REGARDING ARBITRATION
THESE TERMS REQUIRE THAT MOST DISPUTES BETWEEN YOU AND SPROUTLY BE RESOLVED THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND INCLUDE A WAIVER OF CLASS ACTIONS. PLEASE REVIEW SECTION 18 CAREFULLY.


1. Privacy Policy
Please refer to our Privacy Policy for information about how we collect, use, and disclose your information.


2. Eligibility
The Services are intended only for individuals who are at least 18 years old. By using the Services, you represent and warrant that you are 18 years of age or older and legally capable of entering into a binding agreement.


3. Account Registration and Communications
You may need to create an account to access certain features. You agree to:
•   Provide accurate and complete information
•   Maintain and update your account information
•   Safeguard your login credentials
•   Notify us immediately of any unauthorized use
By creating an account or placing an order, you consent to receive transactional communications (email and/or SMS if opted in), including order confirmations, billing notices, and delivery updates.

4. Terms of Sale
4.1 Bay Area Delivery Only
Sproutly currently delivers within the San Francisco Bay Area only. Delivery availability depends on your address and active delivery routes.
We reserve the right to modify or discontinue service to any geographic area at any time.


4.2 Subscription Program; Weekly Cutoff; Skips; Cancellation
Sproutly operates primarily on a recurring weekly subscription model.
Your weekly charge may vary depending on:
•   Selected meals
•   Add-ons
•   Substitutions
•   Availability

Weekly Cutoff (Order Lock)
Orders for the upcoming delivery week are processed after:
Wednesday at 8:00 PM Pacific Time
Once the Cutoff has passed:
•   Your order is considered finalized
•   It cannot be modified
•   It cannot be cancelled
•   It is not refundable

Continuous Subscription Authorization
By enrolling in a subscription, you authorize Sproutly (or its payment processor) to charge your payment method on a recurring weekly basis for all applicable charges, including taxes and delivery fees, until you cancel.

Skipping
If available in your account, you may skip a delivery week prior to the Wednesday 8:00 PM PT Cutoff.

Cancellation
You may cancel your subscription through your account prior to the Cutoff. Cancellation stops future recurring charges for unprocessed weeks.
Any order processed after the Cutoff remains due and will be delivered as scheduled.


4.3 Payment
You authorize us to charge your selected payment method for all Orders. If payment fails, we may suspend fulfillment until payment is resolved.
All payments are final except where required by law.


4.4 Delivery and Risk of Loss
Delivery may be performed by Sproutly personnel or third-party couriers.
Delivery windows are estimates and not guaranteed.
Products are perishable. Risk of loss transfers to you upon delivery to your address (including unattended delivery).
If you are not home, deliveries may be left at your designated drop-off location. Any person at the delivery address is presumed authorized to receive the Products.


4.5 Food Safety and Storage
You are solely responsible for:
•   Prompt refrigeration
•   Proper storage
•   Safe handling and consumption
If you believe Products are unsafe or compromised, do not consume them and contact:

4.6 No Refund Policy (Perishable Products)
ALL SALES ARE FINAL.
Because Products are perishable and prepared for scheduled delivery, no refunds will be provided, including for:
•   Orders processed after the Cutoff
•   Preference changes not made before Cutoff
•   Missed deliveries due to customer error
•   Unused meals
This policy does not limit any rights that cannot legally be waived.


5. License to Use Services
We grant you a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial use only.
You may not:
•   Scrape or reverse engineer the Services
•   Use automated bots
•   Interfere with Service functionality
•   Use the Services unlawfully


6–13. Intellectual Property, User Content, Feedback
All Sproutly branding and content are proprietary.
If you submit reviews, photos, or content, you grant Sproutly a non-exclusive, royalty-free license to use that content for business and promotional purposes.
Feedback submitted becomes our property and may be used without compensation.


14. Indemnification
You agree to indemnify and hold harmless Sproutly, Mauja Food and Products, and its affiliates from claims arising out of your misuse of the Services or violation of these Terms.


15. Disclaimers
Products and Services are provided “AS IS” and “AS AVAILABLE.”
You are responsible for reviewing ingredients and determining suitability for dietary needs and allergies.
We do not guarantee uninterrupted service or error-free information.


16. Limitation of Liability
To the fullest extent permitted by law:
Sproutly shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Sproutly’s total liability arising out of or relating to any Order shall not exceed the amount you paid for that specific Order.


17. Modification of Services
We may modify, suspend, or discontinue Services or Products at any time.


18. Dispute Resolution; Binding Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY.

18.1 Informal Resolution First
Before initiating arbitration, you must send written notice describing your dispute and requested relief to:

We will attempt to resolve the dispute within 30 days.


18.2 Binding Individual Arbitration
Except as provided below, any dispute arising out of or relating to these Terms, the Services, or Products shall be resolved by binding, individual arbitration administered by JAMS under its applicable rules.
Arbitration shall take place in the county where you reside unless otherwise agreed.


18.3 Small Claims Carve-Out
Either party may bring an individual claim in small claims court if the claim qualifies under that court’s rules and remains on an individual basis.


18.4 No Class Actions
All disputes must be brought in an individual capacity. Class actions, class arbitrations, and representative proceedings are not permitted.


18.5 One-Year Limitation
Any claim must be brought within one (1) year of the event giving rise to the claim unless a longer period is required by law.


19. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.


20. Termination
We may suspend or terminate your access at any time for violations of these Terms or for operational reasons.


21. Severability
If any provision is found unenforceable, the remaining provisions remain in effect.


22. Survival
Sections relating to payment obligations, disclaimers, limitations of liability, arbitration, and governing law survive termination.
